Public Offer Agreement

PUBLIC OFFER AGREEMENT 
for the provision of services and/or sale of digital products

Provider: Anna Shevchenko Tax Services, registered sole proprietorship under the laws of the Province of Manitoba, Canada (hereinafter referred to as the “Provider”).

This document constitutes a public offer to any capable individual or legal entity (hereinafter referred to as the “Client”) to enter into this Agreement under the terms and conditions set forth below.

By paying for the services or digital products, the Client confirms acceptance (the “Acceptance”) of this Offer, and the Agreement becomes legally binding for both parties.

 

1. SUBJECT OF THE AGREEMENT

 

1.1. The Provider agrees to supply the Client with information, consulting, educational, or other professional services and/or digital products, as described on the Provider’s website, social media platforms, or commercial materials.
1.2. The Client agrees to pay for and receive such services/products in accordance with this Agreement.

 

2. ACCEPTANCE OF THE OFFER

 

2.1. This Agreement is an open offer and constitutes a legally binding contract once accepted by the Client.
2.2. Full payment for the selected service or product represents the Client’s acceptance of the terms of this Offer.
2.3. From the moment of payment, the Client and the Provider are considered to have entered into a legally enforceable Agreement.

 

3. FEES AND PAYMENT PROCEDURE

 

3.1. The price for services and/or products is determined by the Provider and published on the Provider’s website, social media, or marketing materials.
3.2. Payment is made electronically through available payment systems or by other means agreed with the Provider.
3.3. All sales are final. Due to the digital and/or informational nature of the products and services, no refunds will be issued once access has been provided, except as required under applicable Canadian consumer protection laws.
3.4. Payment confirms that the Client has reviewed and agrees with all terms of this Agreement.

 

4. SERVICE DELIVERY

 

4.1. The form, content, and timing of the services are determined by the Provider.
4.2. The Provider independently selects the methods, tools, and sequence for delivering the services.
4.3. Access to materials or consultations is provided only after payment has been received.
4.4. The Provider does not guarantee specific results or outcomes, as these depend on the Client’s personal actions, understanding, and participation.

 

5. RIGHTS AND OBLIGATIONS OF THE PARTIES

 

The Provider shall:
• Provide access to paid services/products within the timeframe specified.
• Ensure the quality and accuracy of materials.
• Maintain the confidentiality of the Client’s personal information in accordance with applicable laws.

The Client shall:
• Pay for the services/products in a timely manner.
• Follow the participation requirements set by the Provider (online or offline format).
• Not transfer access to materials to third parties without written consent from the Provider.

 

6. INTELLECTUAL PROPERTY

 

6.1. All intellectual property rights to the materials provided belong exclusively to the Provider.
6.2. The Client receives a non-exclusive, non-transferable license to use the materials for personal purposes only.
6.3. Any copying, reproduction, distribution, or commercial use without written permission from the Provider is strictly prohibited.

 

7. LIABILITY AND DISCLAIMERS

 

7.1. Each Party is responsible for fulfilling its obligations under this Agreement and compensating for direct damages in accordance with Canadian law.
7.2. The Provider is not responsible for technical issues on the Client’s side (e.g., internet connection, device malfunction, software errors).
7.3. In case of copyright infringement, the Client must compensate the Provider for all resulting losses.

7.4. Disclaimer: The Provider delivers professional accounting and tax preparation services in accordance with applicable Canadian standards and best practices. However, the Client understands and agrees that the accuracy of any filing or report depends on the completeness and accuracy of the information provided by the Client.
The Provider is not responsible for errors or penalties resulting from false, incomplete, or late information supplied by the Client, nor for decisions made by the Client based on general information provided outside of a formal engagement.

 

8. FORCE MAJEURE

 

8.1. Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control (force majeure), including but not limited to natural disasters, war, government restrictions, or communication failures.

 

9. TERM OF THE AGREEMENT

 

9.1. This Agreement takes effect upon payment and remains valid until all obligations are fulfilled.
9.2. The Provider reserves the right to amend the terms of this Offer by publishing a new version on the website or social media.

 

10. ADDITIONAL TERMS

 

10.1. The Client agrees to receive informational and promotional messages from the Provider (via email, SMS, messengers, or social networks).
10.2. By providing a testimonial or review, the Client grants the Provider permission to use their name, image, and feedback for promotional purposes (including online publication).
10.3. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force and effect.
10.4. This Agreement shall be governed by and construed in accordance with the laws of the Province of Manitoba and the laws of Canada applicable therein.
